Terms of Service

By accessing or using Your Agent Plan ("the Service"), operated by Hypandra Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

Your Agent Plan is a web-based platform that helps real estate agents create personalized listing preparation plans for home sellers. The Service uses artificial intelligence to generate task schedules, budget estimates, and execution guidance based on property details and seller availability. Plans are shared with sellers via unique links for tracking and collaboration.

Your Agent Plan is currently in beta testing. The Service may be modified, updated, or discontinued at any time without notice. Features and functionality may change as we continue development.

4.1 Agent Pro Subscription

Your Agent Plan offers a paid Agent Pro subscription at the then-current price displayed at checkout. Subscriptions are billed monthly through Stripe and may be cancelled at any time via the billing portal.

4.2 "Unlimited Listings"

The Agent Pro plan includes unlimited listings established based on reasonable single-agent usage. "Reasonable single-agent usage" means the volume of listings typical for an individual real estate agent operating in good faith — generally the equivalent of one agent's active portfolio. We reserve the right to contact you or adjust access if usage patterns suggest the account is being used for purposes beyond individual agent use, such as operating a brokerage-wide service under a single subscription. We will make reasonable efforts to notify you before any access adjustment.

4.3 Promotional Codes

Promotional codes may be applied at checkout. Each code is subject to its own terms, including expiration and usage limits. Promotional pricing is not guaranteed to continue beyond the stated promotional period.

5.1 Agent Accounts

Real estate agents access the Service by creating an account with valid credentials. You are responsible for maintaining the confidentiality of your account information and for all activities under your account.

5.2 Seller Access

Home sellers access listing plans via unique token-based links provided by their agent. Seller access does not require account creation. These links should be treated as confidential and not shared publicly.

You agree to use the Service only for its intended purpose — preparing homes for sale. You agree not to:

• Submit false property or personal information
• Share seller access links publicly or with unauthorized parties
• Attempt to access other users' data or listings
• Use the Service to violate any applicable law or regulation
• Reverse-engineer, scrape, or programmatically access the Service without authorization

7.1 Your Content

You retain ownership of information you submit (property details, seller information, answers to questionnaires). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process this data for the purpose of providing the Service.

7.2 Data Storage

• Property and seller data is stored using our cloud database provider (Supabase)
• Questionnaire answers are sent to AI providers for plan generation
• Some data may be stored in your browser's local storage for functionality
• We reserve the right to use aggregate, anonymized data for improving the Service

7.3 Shared Links

When an agent shares a listing plan link with a seller, it creates a URL accessible to anyone with the link. Shared content includes the listing plan, task details, budget estimates, and progress tracking. Agents are responsible for sharing links only with intended recipients.

Your Agent Plan uses AI models to generate listing plans, task descriptions, budget estimates, and execution guidance. This content is for informational purposes only. Important disclaimers:

• AI-generated plans are suggestions, not professional construction or real estate advice
• Budget estimates are approximations based on available data and may not reflect actual local costs
• Task timelines are computed estimates and should be adjusted based on real-world conditions
• Always verify contractor recommendations and cost estimates independently
• The Service does not replace professional home inspection, legal, or financial advice

9.1 Agent Responsibilities

Agents who use the SMS features of the Service are responsible for obtaining proper consent from each recipient before sending text messages. By using the SMS feature, you represent and warrant that you have received express consent from each person you message through the Service.

9.2 Opt-Out Compliance

The Service automatically honors STOP requests from message recipients. When a recipient replies STOP, they are immediately unsubscribed and no further messages will be sent to their number. Agents must not attempt to circumvent or override opt-out requests.

9.3 Message Content

SMS messages sent through the Service must relate to legitimate real estate business activities. Marketing, spam, or messages unrelated to an active agent-client relationship are prohibited. We reserve the right to suspend SMS access for any agent who violates these terms.

9.4 Rates and Frequency

Standard message and data rates may apply to recipients. Message frequency varies based on agent activity. For help or to stop messages, recipients can reply HELP or STOP to any message, or visit youragentplan.com/sms-help.

The Service integrates with third-party providers including:

• OpenRouter for AI processing
• Supabase for data storage and authentication
• Stripe for payment processing and subscription management
• Twilio for SMS delivery
• Vercel for hosting

Your use of these integrated services is subject to their respective terms of service and privacy policies.

• The Service is provided "as is" and may be subject to limitations, interruptions, or restrictions
• We may implement usage limits without prior notice
• AI features depend on third-party API availability and may be temporarily unavailable
• We do not guarantee continuous availability of the Service

12.1 No Professional Advice

The Service does not provide professional real estate, legal, financial, or construction advice. AI-generated plans and estimates should be used as a starting point, not as the sole basis for decisions about property preparation or pricing.

12.2 No Warranties

The Service is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, Hypandra Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to damages arising from reliance on AI-generated estimates or task timelines.

You agree to indemnify, defend, and hold harmless Hypandra Inc. and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or connected with (a) your access to or use of the Service, (b) your violation of these Terms, or (c) your violation of any rights of another.

We may update these Terms at any time. Continued use of the Service constitutes acceptance of revised Terms. We will indicate the effective date at the top of this page.

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles.
